According to the new institutional economics, the objective of enterprises'existence is to improve economic efficiency through decreasing interior and exterior exchange expenses. In modern economy, along with the improvement of physical capital's cash-ability and the specification of human capital, employees have more enthusiasm to reduce opportunistic behaviors of themselves and of managers by democratic participation, which results in the reduction of exchange expenses and improvement of efficiency. The democratic management of enterprises should focus on the interest increment through efficiency improvement, rather than being limited to the interest deposit mode of equal distribution.
