我国信托法混淆了委托与信托，导致了信托财产归属上的错误。双重所有权并不是大陆法系引入信托制度的障碍，从法理上说，受托人应该享有信托财产所有权，信托成立以信托财产所有权转移。应该规定受托人的消极资格，规范营业信托行为。受托人义务属于法定义务，设定的根本原因是道德风险的存在。在英美法系，受托人义务的法理基础是信义义务，在大陆法系是诚实信用原则上，二者在本质上是相同的。

英语语境:

The Trust Law in China confuses consignation and trust, which causes a mistake of ownership of trusted properties. Dual ownership is not the obstacle to civil law system to introduce trust system. In legal theory, the trustees should enjoy the ownership of trusted properties, and the trust is established on the basis of transfer of ownership of trusted properties. It is thus necessary to stipulate the negative qualification of trustees, and regulate the trust behaviors of business. The obligation of trustees belongs to legal duty, and the primary cause of establishing is the existence of moral risk. In common law system, the obligation of trustees is the fiduciary duty, while in civil law system, the obligation of trustees is the principle of good faith. In fact, these two are the same in essence.
