Takeover of listed companies has become the most important emerging force in our stock market. The dynamic of takeover incites the intensive anti-takeover of target companies. Due to the lack of perfect rule to regulate anti-takeover, anti-takeover of target companies not only harms the interests of itslef and its sohareholders but also cumbers takeover's influence in improving company administration. By introducing experience of the United Kingdom and the United States, this paper brings forward viable advice to regulate the anti-takeover of target companies: First, establis fiduciary duty of directors; second, establish the rule of exclusion of voting rights of shareholders; third, construct s judicial relief system.
