证券交易所自律管理表现为对会员、上市公司、投资者的证券上市和交易行为进行管理。由于证券交易所自律管理的形成基础是会员、上市公司、投资者等证券市场参与者的契约，因此，自律就是契约当事人自治，管理就是当事人之间契约关系的调整，证券交易所自律管理就是在契约当事人的合意之下，由证券交易所制定自律规则、执行自律规则、裁决证券纠纷以平衡当事人之间的利益冲突并分配当事人之间的交换剩余。

The foundation of legal self-regulation of stock exchanges is the agreement among members, listed companies and investors. In another word, self-regulation is the autonomy of contracting parties, and management is an adjustment of the contractual relationship among contracting parties. With the contracting parties'authorization, self-regulation of stock exchanges is to enact and enforce self-regulatory rules, and settle the disputes to balance the conflicts of interest and distribute the exchange surplus among the contracting parties.
