世界上大多数国家的公司法或相关法规都规定，股东或发起人可以凭借专利权投资入股。我国《公司法》也规定，股东可以以工业产权、非专利技术出资。专利权作为工业产权的一种，可以成为公司成立时出资的一种方式，这是受我国法律肯定的。但是专利使用权成为公司成立时股东出资的方式，则存在争议。
英语语境:
Corporation law or related laws of most countries in the word stipulate that the shareholders or initiators can invest to a corporation and become a shareholder by patent rights. Corporation law in China stipulates that the shareholders can invest to a corporation by industrial property rights and non-patented technology. Patent right is a kind of industrial property rights. It is affirmed by laws in China to invest to a corporation upon its establishment in this way by investing with patent right. But it is still controversial to invest with the right to the use of patent by shareholders on its establishment.
